Conflicts of Interest Policy

Last updated: October 15, 2026

Purpose

A client is entitled to a representative whose judgment isn't affected by anyone else's interests, including the representative's own. This policy explains how NEO avoids and manages conflicts of interest, as the Law Society of Ontario's Paralegal Rules of Conduct require.

Who it applies to

Every licensee, employee and contractor of the firm.

Checking before we act

  1. Before we accept a matter, and before we receive more information than we need to check, we search our records for every person and organization involved: the client, the other side, and other parties we know of.
  2. We repeat the check when a new party joins a matter.
  3. A matter is not opened until the check is clear, or any conflict has been resolved as this policy describes.

When we won't act

  • Against a current client.
  • Against a former client in the same or a related matter, or where confidential information from the earlier matter could be used against them, unless the former client consents and the rules allow it.
  • Where our own interests, or a relationship with someone involved, could affect our advice.

Acting with consent

Some conflicts can be managed if each affected client gives informed consent. Where we ask for consent, we explain the conflict and its possible effects in plain language, recommend independent advice where appropriate, and record the consent in writing.

Joint clients

When we act for two or more clients in the same matter, we explain at the start that information from one cannot be kept confidential from the others, and that if a dispute develops between them we may have to stop acting for some or all of them.

Business and gifts

We don't enter into business arrangements with clients, or accept gifts that could affect our independence, except as the rules permit.

The rules behind this policy

The Law Society of Ontario's Paralegal Rules of Conduct, including Rule 3 (duty to clients).

Review

This policy is reviewed at least once a year, and whenever the Law Society's By-Laws or rules change. The principal approves every change.
