The problem

Everyday legal problems are common, and too many go without help.

48.4%of adult Canadians face at least one serious everyday legal problem in any three-year period: about 11.4 million people.Canadian Forum on Civil Justice, 2016
$7.7Ba year spent by Canadians dealing with those problems, before counting the cost to public services.Canadian Forum on Civil Justice, 2016 (2014 survey)

Why people go without

  • With hourly billing, the final cost can be hard to predict before you start.
  • For a $5,000 dispute, an eviction notice or a traffic ticket, an open-ended legal bill rarely makes sense.
  • Courts and tribunals are complex, and delays at the Landlord and Tenant Board have been well documented (Ombudsman Ontario, 2023).
  • So people represent themselves, or give up.

The opening

Ontario’s licensed paralegals are built for exactly these matters.

Licensed and regulated by the Law Society of Ontario since 2007, paralegals represent people in the busy forums where everyday problems land.

Small Claims CourtClaims up to $50,000, up from $35,000 since October 1, 2025, so more disputes now fit paralegal scope.
Landlord and Tenant BoardNotices, applications and hearings for landlords and tenants.
Traffic & provincial offencesHighway Traffic Act and other provincial charges.
TribunalsHuman Rights Tribunal, WSIB and WSIAT appeals, and accident benefits at the Licence Appeal Tribunal.
EmploymentEmployment standards claims, demand letters and settlement negotiation.
CommissioningAffidavits and statutory declarations: licensed paralegals are commissioners for taking affidavits.

Compliance, built in

Regulatory risk is the biggest risk in a legal practice. We built software to help us catch problems early.

Trust money

  • Monthly three-way reconciliation of bank, books and client ledgers
  • 12 automated checks, run daily, that flag problems with trust records and client ID for the licensee to fix
  • Form 9A requisition register for electronic trust transfers, since October 2026
  • One-click audit pack of the records By-Law 9 requires

Clients and records

  • Identity verification when a client signs up (Stripe Identity or Plaid)
  • A client contingency plan (By-Law 7.1) with annual review reminders
  • Email that follows CASL: one-click unsubscribe, honoured at once
  • Role-based access: financial pages are for administrators only

Built to support compliance with LSO By-Laws 7.1 and 9. The checks find problems after the fact rather than prevent them, and the licensee remains responsible.

Responsible AI

AI that helps us do more, with safeguards we can name.

Cross-checked where it mattersSome of our tools, such as case chat and document intake, ask more than one AI model (OpenAI, Anthropic, Google) and compare the answers. Others use one.
Licensee reviewAI drafts used in client work are reviewed by a licensed paralegal. Clients can also use a general-information assistant in their portal, which tells them to check important points. Our prompts tell the models never to invent citations and to flag work outside paralegal scope.
PrivacyIn our document tools, SIN, card and bank numbers in document text are masked by default before it is sent to an AI; photos and scans of pages are sent as they are. Requests through the AI assistant, copilot and court-form tools are logged.

Our approach reflects the professional-conduct duties the Law Society of Ontario set out in its 2024 guidance on licensees’ use of generative AI.

Unit economics

Our plan: break even at about 84 files a year.

Why we expect the margin to hold

The platform does much of the intake, ID checks, e-signing, billing and trust records, so more of a licensee’s time can go to the legal work clients pay for.

How it would scale

Each licensed paralegal we add would work at the same published fees on the same system, which is designed so overhead grows more slowly than files. Forward-looking: a goal, not a forecast.

Forward-looking information: planning assumptions from our business plan, not results. We have not yet reached break-even. The $2,000 average file is an assumption; our published median fees in the paralegal practice areas on the Pricing slide range from $75 to $1,250, and at a $750 average file the same costs and margin need about 223 files a year (about 19 a month). Actual results may differ materially.

Milestones

Where we are, and what comes next.

  1. February 2026The practice opens in Pickering, virtual-first and serving all of Ontario.
  2. 2026Platform live: client portal, ID checks, e-signing, billing and trust accounting.
  3. October 2026Memberships launch. Trust-requisition register and daily LSO watch go live. Voluntary WSIB coverage applied for.

Next and Later are forward-looking: goals, not forecasts.

Team

Led by a licensee with a finance background.

Mo. FarooquiPrincipal · Licensed Paralegal (LSO licence P21785)

Background in financial services, compliance and quality-of-earnings analysis. Designed and built the NEO practice platform.

How the team grows

  • Licensed paralegals are added as revenue supports payroll.
  • Administrative, intake and marketing support follows the caseload.
  • The platform lets each new licensee start on the same systems from day one.

How lenders would take part

Straightforward debt, structured to respect the rules.

Shares aren’t availableOntario law lets only licensees hold shares in a professional corporation (Business Corporations Act, s. 3.2; LSO By-Law 7). We won’t pretend otherwise.
Fixed-rate term loans and promissory notesA loan to the corporation at a fixed annual rate for a fixed term, with interest paid on the schedule in the written agreement (for example monthly, quarterly or at maturity). Never from client trust money, and never a share of legal fees.
Who could take partPeople and organizations who qualify under a prospectus exemption, such as accredited investors, through written agreements. We do not borrow from our clients.
TermsRates, minimums and any security would be set with each lender and shared after an introductory call and a confidentiality agreement.
NEO Legal Services Professional Corporation · Investor presentation · October 202614 / 18
Use of funds

Where the money would go: people, clients and the platform.

01Licensed paralegalsHire licensees so we can take on more matters, beginning with Small Claims, Landlord and Tenant Board and traffic files.
02Client acquisitionSearch, content and local advertising across Ontario, measured against booked consultations.
03PlatformSecurity hardening, client mobile apps and AI-assisted intake on the system we already run.
04Working capitalSmooth the gap between doing the work and being paid, without touching client trust money.

Forward-looking. The amount raised and the split would be agreed with lenders. We intend to pay interest and repay principal from operating cash flow. We have not yet reached break-even, so payments depend on the business growing as planned or on other financing, and may not be made.

Risks

The risks, plainly.

Not yet profitablePractising since February 2026 and not yet at break-even. A short operating history, and financial statements that are not audited.
Key personThe firm relies on one licensee, its principal, who also built and maintains its software.
Licence & regulationWe can practise only while our principal is licensed and the corporation holds an LSO certificate of authorization. A rule change or regulatory finding could affect us.
Scope of practiceParalegals may act only within the scope the LSO sets. A service found to be outside it would have to stop.
RankingUnless agreed otherwise, a loan would be unsecured and could rank behind our bank and other creditors.
Technology & dataWe depend on our software and outside providers. A security incident or outage could disrupt service.
CompetitionOther paralegal and law firms, legal-tech tools and do-it-yourself options compete for the same clients.
Your moneyNot a bank deposit, not insured and not easily sold. You could lose some or all of it.

Why NEO, why now

Real demand, a scope that fits it, and a platform built to keep costs down.

  • Under-served demand. Nearly half of adult Canadians face a serious everyday legal problem within three years (CFCJ, 2016). Many of these, though not all, fall within paralegal scope.
  • A regulated scope that fits. Paralegals are licensed for these matters, and the Small Claims limit is now $50,000.
  • Designed for a lower cost per file. Our platform does much of the administration and compliance work. We have not yet measured our cost per file against other firms.
  • Plain terms. Any investment would be fixed-rate debt under a written agreement, with the risks set out in plain words.

Register your interest

Tell us a little about yourself. We’ll be in touch to arrange an introductory call. There is no obligation, and nothing here is an offer of securities.

Tip: use the loan calculator below and choose “Send this scenario with my enquiry” to attach the terms you modelled.

Loan calculator

Do the arithmetic on an example fixed-rate loan or note: what a lender would receive and when, if every payment were made. Change any number.

Type any amount from $1,000; the slider covers $5,000 to $500,000.
Enter any rate to see the arithmetic. NEO isn’t suggesting one.
Term
How the lender is repaid
Example numbers, not terms NEO is offering. “Compare with” is any rate you choose. Other investments can carry very different risk: a GIC, for example, is usually CDIC-insured with a guaranteed return; a loan to NEO is neither. Inflation starts at 2%, the midpoint of the Bank of Canada’s target range.

Enter an annual interest rateThe calculator then shows what a lender would receive and when, the return as a yearly rate, and a year-by-year breakdown.

This calculator does arithmetic on example numbers that you can change. They are not terms NEO is offering, a forecast or a promise of any return, and the results assume NEO makes every payment in full and on time. A loan to a small private business is not a bank deposit, is not insured, and you could lose some or all of your money.
