Franchise disclosure review

Franchise disclosure review. Incorporation, business structuring, corporate searches and corporate maintenance services.

Corporate work such as incorporations, minute books and business agreements is often work only a lawyer may do; before any work starts we confirm that what you need is within what a licensed paralegal is permitted to do, and we refer anything that is not to an Ontario lawyer.

Timing depends on the document and on who prepares it, and is confirmed in writing before work starts. Ontario Licensed paralegal firm (LSO P21785)

Frequently asked questions

How much does it cost?

The fee is $1,000 plus 13% HST ($1,130.00 in all) for the work described on this page. Court, tribunal or government fees and other disbursements are extra. We confirm the scope and the fee in a written retainer agreement before any work starts.

What happens when I check out?

You book a time for your intake call, then save a card on Stripe's secure page. Nothing is charged today: the card is only charged later, for an invoice for work already done, as your retainer agreement sets out. A licensed paralegal confirms the details, checks for conflicts of interest and, if we can act for you, sends the retainer agreement. Fees paid before the work is done are held in our trust account.

Why might this need a lawyer?

Licensed paralegals may provide only the legal services the Law Society of Ontario permits, and drafting or reviewing a business agreement that is not part of a court or tribunal case is usually outside them. When it is, we tell you and can refer you to a lawyer.

What does a shareholder agreement usually cover?

Often how decisions are made, what happens if an owner leaves, dies or wants to sell, and how disputes are handled.

Is there a deadline when buying a franchise?

Ontario's franchise law requires the franchisor to give you a disclosure document at least 14 days before you sign or pay anything, so any review needs to happen within that window.
